2022 Annual Meeting and Elections

The 2022 Orange County’s Credit Union Annual Meeting will be held on June 28, 2022, at its Headquarters located at 1701 E. St. Andrew Pl., Santa Ana, CA. Attendees will have the opportunity to hear reports related to the Credit Union’s year-end financial performance and accomplishments. In addition to a retrospective look at the past year’s activity, an election will be held to determine which candidates will serve on the Board of Directors in the coming term. The Membership will also be voting on the adoption of an Audit Committee in lieu of a Supervisory Committee.

Elections

Elections for five open Board of Directors seats will take place at the Annual Meeting. Nominations for all five seats have been made by the Nominating Committee. Nominations can also be made by petition. No nominations can be made at the Annual Meeting. Petitions are available at any branch and must be signed by at least 1% of the Credit Union Membership (as of February 28, 2022, this number was 123,616).

In the Credit Union’s care, the Secretary of the Board must receive the petitions no later than 4:00 pm, Thursday, May 19, 2022. In case there are more nominees than open seats, an election is conducted and the five Board candidates receiving the most number of votes will be elected. If there is only one nominee for each open seat, the Board may declare the election of each nominee by acclamation.

Audit Committee

During the 2022 Annual Meeting, the Board of Directors of Orange County’s Credit Union present the following for Membership approval:

  • Adoption of an audit committee in lieu of a supervisory committee
  • Adoption of related amendments to Article VIII and other sections of the Orange County’s Credit Union Bylaws to establish an audit committee in lieu of a supervisory committee

The Board of Directors believes that adopting an audit committee will allow your Credit Union to streamline elections processes as well as ensure that our audit processes are aligned with business risks and objectives. This improvement should bring additional efficiency to your Credit Union without any impact to performance.
